If you signed a separate Cover Page to access the Product with the same account, and that agreement has not ended, the terms below do not apply to you. Instead, your separate Cover Page applies to your use of the Product.
This Agreement is between the Provider and the Customer using the Product. This Agreement consists of: (1) the Order Form below and (2) the Framework Terms defined below.
If you are accessing or using the Product on behalf of your company, you represent that you are authorized to accept this Agreement on behalf of your company. By checking the acceptance box, Customer indicates its acceptance of this Agreement and agrees to be bound by its terms and conditions.
Framework Terms
This Order Form incorporates and is governed by the Framework Terms, made up of the Key Terms below and the Common Paper Cloud Service Agreement Standard Terms Version 2.1 (https://commonpaper.com/standards/cloud-service-agreement/2.1/), which are incorporated by reference. Any modifications to the Standard Terms made in this Cover Page will control over conflicts with the Standard Terms. Capitalized words have the meanings given in the Cover Page or the Standard Terms.
Note: This Agreement updates Sections 1.5, 1.6, 6.3, 6.4, and 9 of the Cloud Service Agreement Standard Terms for the Trial Edition. The updated sections are set forth below.
Section Updates
1.5 Customer Content
Provider does not copy, store, or use Customer Content beyond what is strictly necessary to execute Customer's configured workflows within the Product. Provider will not transmit raw Customer Content to any external artificial intelligence or machine learning system, including any third-party large language model. All data ingestion, transformation, and execution involving Customer Content occurs exclusively within Provider's platform. Customer is responsible for the accuracy and content of Customer Content.
1.6 Artificial Intelligence and Platform Orchestration
Provider utilizes a third-party large language model (currently Anthropic Claude) solely for reasoning tasks, including interpreting user intent, generating proposed pipeline configurations, and suggesting data workflows. Provider will notify Customer if the third-party large language model provider changes materially. The large language model does not execute data operations and does not process raw Customer Content. Natural language inputs submitted by Customer through the Product interface are processed by the large language model to generate proposed actions, which are then evaluated and executed exclusively by Provider's platform.
Provider may use Usage Data, including tool usage patterns, feature frequency, and workflow combinations, to improve platform orchestration and the performance of Provider's products and services. Customer authorizes Provider to process Usage Data for such purposes. Provider does not use Customer Content to train, fine-tune, or enhance any artificial intelligence or machine learning model.
Nothing in this section will reduce or limit Provider's obligations regarding Personal Data that may be contained in Usage Data under Applicable Data Protection Laws. Due to the nature of artificial intelligence, outputs generated by AI-assisted features may be incomplete or inaccurate. Nexadata recommends that all AI-generated outputs be reviewed by a qualified user prior to execution or reliance.
6.3, 6.4, and 9 — Trial Period Modifications
Sections 6.3 and 6.4 do not apply during the Trial Period. Notwithstanding Section 9, each party's indemnification obligations are limited solely to the Covered Claims set forth in this Order Form. There are no Increased Claims or Unlimited Claims during the Trial Period. Either party may terminate this Agreement during the Trial Period for any or no reason upon three (3) business days' written notice to the other party.
Order Form
Cloud Service ("Product"): Nexadata is a no-code data integration and harmonization platform that enables business users to connect, transform, map, and analyze structured and unstructured data through AI-assisted workflows. Nexadata's reasoning layer is powered by Anthropic Claude; all data transformations and workflow execution are performed deterministically by the Nexadata platform. Raw customer data is never processed by the language model. This agreement covers the Nexadata Trial Edition as described below and must be fully accepted before your trial may begin.
Order Date: The Effective Date.
Subscription Period: The Trial Period, beginning on the Effective Date and lasting 30 days unless otherwise agreed in writing by both parties.
Cloud Service Fees: The Trial Edition is provided at no cost to the Customer. No subscription fees, usage fees, or other charges apply during the Trial Period.
Payment Process: No payment is required for the Trial Edition. This field does not apply.
Non-Renewal Notice Period: Not applicable for the Trial Edition.
Use Limitations: During the Trial Period, Customer may access and use the Cloud Service solely for internal evaluation purposes to assess its functionality and suitability for Customer's business needs. Use must be non-commercial in nature and reasonable in scope.
Customer may not use the Cloud Service in any production environment, for live business operations, to process production data, or to provide services to third parties. Use that supports revenue-generating activities or any purpose other than evaluation is not permitted under this agreement. Nexadata reserves the right to impose reasonable usage limits during the Trial Period to ensure fair and intended use of the Cloud Service.
Technical Support: Customers on the Nexadata Trial Edition receive email and in-app chat support with a guaranteed next-business-day response. Email inquiries can be sent to [email protected]; the in-app chat interface is accessible directly within the platform at app.nexadata.com.

Service Level Agreement: Nexadata will use commercially reasonable efforts to maintain the Cloud Service with minimal errors and interruptions during the Trial Period. As the Trial Edition is provided at no cost, no service level credits or fee refunds apply. In the event of material or persistent service disruptions, Customer may terminate this Order Form upon written notice to Nexadata.

Covered Claims
Provider Covered Claims: Any action, proceeding, or claim alleging that the Cloud Service, when used by Customer in accordance with the terms of this Agreement, violates, misappropriates, or otherwise infringes any third party's intellectual property or proprietary rights.
Customer Covered Claims: Any action, proceeding, or claim alleging that (1) Customer Content, when used in accordance with the terms of this Agreement, violates, misappropriates, or otherwise infringes any third party's intellectual property or proprietary rights; or (2) results from Customer's breach or alleged breach of Section 2.1 (Restrictions on Customer).

Security Policy
Provider will use commercially reasonable efforts to secure the Cloud Service from unauthorized access, alteration, or use, and other unlawful tampering. Nexadata's security posture and compliance documentation are available at our Trust Center. Nexadata is SOC 2 Type 2 certified. Certification documentation is available upon request.
